Terms and Conditions
These Terms & Conditions govern all training and education services provided by Advance Agility Private Limited. By booking a course, making payment, or engaging our services in any way, you (the “Client”) agree to be bound by these Terms in full.
1. Introduction & Definitions
Advance Agility Private Limited (“Advance Agility”, “we”, “us”, “our”) is a UK-registered training provider (UKPRN: 10091181) delivering professional certification and skills development programmes globally.
Definitions
Booking: A reservation for a Course confirmed by payment or valid Purchase Order.
Client / You: Any individual, company, or organisation engaging our Services.
Participant: Any person nominated by the Client to attend a Course.
Course: Any standard scheduled course, custom/bespoke training, bootcamp, workshop, or certification programme.
Custom Training: Bespoke programmes designed according to Client specifications.
Fees: The charges for the Course as published or quoted.
Services: Delivery of training programmes, materials, trainer instruction, and related support.
These Terms apply to all Services including standard public courses listed on our website, Custom Training, bootcamps, corporate workshops, and certification programmes.
2. Services Provided
We deliver high-quality training in AI, SAFe®, Agile, Scrum, PMI, Microsoft, Technology, and related areas through online (virtual instructor-led), in-person, and hybrid formats worldwide.
Services include:
• Standard scheduled public courses.
• Fully customised corporate training and bootcamps.
• Certification preparation workshops.
All training is strictly educational. Fees do not include third-party software licences, API credits, cloud subscriptions, or platform access unless expressly stated in writing.
3. Course Fees & Pricing
Fees for standard courses are published on the respective course pages on our website and are subject to change.
Custom Training, bootcamps, and corporate programmes are quoted individually based on duration, number of participants, format, location, and customisation level.
All prices are exclusive of VAT and applicable taxes (which will be charged where required).
Written quotations are valid for 30 days unless otherwise stated.
Group or bulk booking discounts may be available on request.
4. Payment Terms
Online Bookings: Full payment is required at the time of booking via our secure online payment system.
Corporate / Invoice Bookings:
• A valid Purchase Order must be issued.
• We will issue a VAT invoice.
• Payment is due within Net 30 days from the invoice date.
Late payments will attract interest at 8% per annum above the Bank of England base rate (or the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998, whichever is higher). We reserve the right to suspend or cancel the Booking until full payment is received. All bank charges are the Client’s responsibility.
5. Booking Confirmation & Course Scheduling
A Booking is confirmed only upon receipt of full payment or a valid Purchase Order. We will send written confirmation of dates, times, platform/venue, and agenda.
We reserve the right to:
• Reschedule or change the delivery platform/venue with reasonable notice.
• Substitute trainers with equally qualified alternatives.
• Postpone or cancel a course if minimum participant numbers are not met (full refund or reschedule option will be offered).
6. Cancellation Policy
6a. Standard Online / Individual Bookings
• Cancellation within 7 days of purchase: 100% refund (excluding bank/transaction fees).
• Refunds processed to the original payment method within 5–7 business days.
6b. Corporate / Direct Bookings
• More than 72 hours before course start: Full reschedule (subject to availability) or cancellation with full refund less a £150 / $200 administration fee.
• Less than 72 hours before course start: Handled case-by-case. A minimum 50% cancellation fee of the total Course Fees applies, plus any non-recoverable costs already incurred.
6c. No-Show Policy
If a Participant does not attend without prior notice, the full Course Fees remain payable with no refund. Rescheduling may be offered at our sole discretion, subject to availability and a £200 / $250 goodwill rescheduling fee.
6d. Cancellation by Advance Agility
We may cancel or reschedule due to insufficient enrolments, trainer unavailability, force majeure, or other unavoidable circumstances. In such cases, you will be offered a full refund or the option to reschedule at no extra cost.
7. Rescheduling Policy
• Requests made 3 or more days before the start: No additional charge (subject to availability).
• Requests made within 72 hours: A £200 / $250 administration fee applies.
All rescheduling is subject to availability in confirmed running batches.
8. Trainer Credentials
All trainers are experienced, qualified professionals with relevant industry certifications and proven delivery track records. For UK engagements, DBS-checked trainers can be provided upon request. Compliance documents (DBS, insurance, qualifications) are available on reasonable notice. We may substitute trainers with suitable alternatives with reasonable notice.
9. Software, Subscriptions & API Usage
Our programmes are educational only. Participants must arrange and fund their own licences, API keys, and subscriptions (e.g., OpenAI, Azure, AWS, n8n, Zapier, etc.). Advance Agility will not share corporate credentials. Failure to arrange required access does not entitle you to a refund or extension.
10. Intellectual Property
All course materials, slides, recordings, frameworks, and content are the intellectual property of Advance Agility or its licensors. Clients and Participants receive a limited, non-transferable, non-exclusive licence for internal personal or organisational use only.
Recording, reproducing, distributing, modifying, or sharing materials externally without our prior written consent is strictly prohibited.
11. Data Protection & Privacy (UK GDPR)
We act as a data processor for Participant information. We comply with UK GDPR and the Data Protection Act 2018. Our Privacy Policy forms part of these Terms. By booking, you consent to us processing data for the purpose of delivering the Services and issuing certificates.
12. Confidentiality
Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement.
13. Liability
• Our total liability is limited to the total Fees paid by the Client in the preceding 12 months.
• We are not liable for indirect, consequential losses, or loss of profit.
• We warrant that Services will be provided with reasonable skill and care.
• Nothing excludes liability for death, personal injury, or fraud.
The Client is responsible for ensuring Participants meet course prerequisites.
14. Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control (e.g., pandemics, strikes, natural disasters, government restrictions).
15. General Provisions
• These Terms constitute the entire agreement.
• Any amendments must be in writing.
• If any clause is invalid, the rest remain enforceable.
• You may not assign this contract without our consent.
16. Governing Law
These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
